Frequently asked questions

Do contracts in India need to be stamped?
Stamp duty applies to most instruments and is determined by state law — in Tamil Nadu, by the Indian Stamp Act as applicable in the state. An unstamped or under-stamped document can face admissibility problems in evidence, so we advise on duty at the drafting stage.
Is an email exchange a binding contract?
It can be, where offer, acceptance, consideration and intention are present. That is precisely why negotiation correspondence should be marked as subject to contract until terms are settled.
Should the contract choose arbitration or the courts?
Arbitration typically offers confidentiality and control over the timetable; court proceedings can be preferable for straightforward recovery. We recommend based on value, counterparty and enforcement route.
